Common Client Concerns

Can a non-physician own part of a medical practice?

In California, a medical corporation must be majority-owned by physicians, and only certain other licensed professionals may hold the rest. Investors who aren’t licensed usually participate through a separate management company.

How can a management company be paid?

The fee has to be fair pay for real services, and it can’t give the management company control over medical decisions. A fee built on a share of the practice’s revenue deserves a careful review.

A company sent me an agreement to manage my practice.

Look closely at who controls the practice’s money. Then check how the fee is set, whether there’s a reserve, and how you can end the agreement. We can review it before you sign.

Do we need a HIPAA business associate agreement?

If a vendor or partner will handle patients’ health information for the practice, generally yes. It should stand on its own and match how the information is actually used.

We’re a health technology company.

Your product names and customer contracts need the same care as any tech company’s, along with the healthcare rules your customers work under. Our digital health page has more.

FAQs

What is the corporate practice of medicine?

It’s California’s rule that only licensed physicians and physician-owned entities may practice medicine or control medical decisions. It shapes how practices are owned, how management companies are paid, and who can invest.

What is an MSO?

A management services organization is a separate company that handles the business side of a practice, such as billing, staffing, space, and equipment, under a written agreement with the practice.

Can a medical corporation be an S corporation?

Yes, if it meets the IRS requirements and files the election on time. Many physicians make the election when the corporation is formed.

Do you handle medical licensing or Medical Board matters?

No. We focus on the business side of practices and coordinate with healthcare regulatory counsel when a matter needs one.
