Annual Corporation / LLC Checklist

For each item listed below, indicate whether the event occurred within the preceding twelve-month period. If so, state the date of occurrence and provide sufficient detail to describe the nature and circumstances of the event. Include any related questions in the space provided.

1. Has the corporation/LLC changed its fiscal year?
2. Has the corporation/LLC filed any tax elections such as a Subchapter S election?
3. Has the corporation/LLC changed the location of its principal office?
4. Has any director, officer, or shareholder/member died, resigned, or sold or given away their interest in the entity?
5. Have any new officers, directors, or executives been employed?
6. Has the corporation/LLC changed accountants?
Financial Activity
7. Has the corporation/LLC borrowed any money from any financial institution or from any personal lender, especially officers, directors, or shareholders/members?
8. Has the corporation/LLC lent any money to related companies or personal debtors, especially officers, directors, or stockholders/members?
9. Has the corporation/LLC purchased, leased, or sold any substantial assets, real or personal?
Operations & Compliance
10. Has the corporation/LLC begun doing any business in states other than its state of incorporation/formation, or does it contemplate doing so?
11. Has the corporation/LLC installed, amended, or terminated any employee benefit programs (e.g., health insurance, life insurance, pension or profit sharing plans)?
12. What were the contributions to benefit plans for the most recent fiscal year end?
